Dr Annette Bödeker is an experienced lawyer in the field of corporate law, with particular expertise in stock corporation law, group law and corporate restructurings.

She regularly advises on M&A transactions, often for investors from the Anglo-American market. In 2009, she was appointed as a notary in Frankfurt am Main and has since provided the full range of notarial services.

She supports her clients across a wide range of matters, from restructuring individual divisions and entering new markets to forming partnerships, joint ventures, managing acquisitions, and exiting activities or markets.

Experience Highlights

After 2020:

  • Provided comprehensive corporate law advice to M-Dax company flatexDEGIRO SE, including support for the public annual general meeting and other corporate and M&A matters across the group. This included advising on the combination of flatex and DEGIRO through a cross-border merger and the conversion of the listed company and its bank into a Societas Europaea (SE).
  • Advised on the acquisition of, and continues to provide corporate law support to, the German subsidiary of NASDAQ-listed Enphase Energy, Inc., including the merger of the existing German subsidiary with the acquired Enphase Energy Germany AG.
  • Advised the Menicon Group on the spin-off of its European logistics business via an asset deal.
  • Advised NASDAQ-listed Curiosity Inc. on a joint venture with SPIEGEL TV and Autentic relating to two pay-TV channels in German-speaking markets.
