We help to transform the distress of debt into opportunity for your business, through a range of strategies, where share capital and debt are readily transferrable.
Summary
Business environments change. Whether caused by domestic or international trading conditions, technological developments, political intervention or other forces of disruption, a business can find itself short of the funds it needs to execute its day to day operations; or overburdened by the cost of meeting arrangements with financiers.
Whether working with an existing investor, a would-be investor or the debtor itself, our lawyers have enormous experience in providing the legal input necessary for developing strategies, drafting documentation, negotiating and implementing a financial restructuring. Each lawyer in the team is a highly experienced advisor, with minimum 10,000 hours of practice in this field. Owing to their vast experience, our team has advised on restructurings across many sectors, which tends to be invaluable as there are often nuances which arise when dealing with a debtor’s business sector.
We offer clear guidance and transparency on fees to help you plan ahead. And we always approach your issues with a commercial and entrepreneurial mindset, focused on a successful outcome.
Our work in Financial Restructuring includes:
- Brokering between existing investors, a moratorium or standstill
- Questions of legal and other professional representation
- Obtaining and sharing of information
- Suspension of shares and debt trading or lock-out
- Options for equity and debt interests
- New money injection and security priorities
- Third party security (guarantees) and conditions to security enforcement
- Waiver and reset of covenants
- Schemes of Arrangement
Notable cases
Many financial restructurings occur in a closed-door environment: unsurprisingly, news of a business’ troubles can rapidly worsen them, as the support of customers and suppliers diminish and competitors press home their advantages. We cannot, therefore publicise our successes in this field.
Our lawyers have been involved in restructurings of all sizes, from both substantial (for example a 6 billion Euro owed to a senior secured creditor, with a multi-layered capital structure over several jurisdictions) and smaller domestic situations involving many interested parties.
