Barry is an experienced, solution focused attorney representing businesses and their owners in domestic and international transactions. He is an effective and articulate negotiator and writer who can distil the important aspects of any transaction and handle multiple transactions and situations simultaneously. Among his areas of concentration are sales, mergers and acquisitions, joint ventures, computer hardware, software, SaaS, IaaS, and consulting transactions, including data analytics and data science solutions, privacy and data security matters, brand licensing, financings, real estate, art law and cloud and Internet matters. He negotiates and helps clients to consummate private equity and venture capital transactions, domestic and international sales of goods, computer services and licensing deals, secured and asset-based lending transactions, trademark licensing, and high technology transactions.

Barry advises start-ups, development stage and mature private and public companies and their owners, investors, officers and inside and outside directors. He effectively works with clients, investment bankers, placement agents, accountants, lenders and other professionals and has lead many teams negotiating and closing offerings for medical device, electronics companies, computer equipment manufacturers, importers, distributors and retailers, telecommunications and interconnect companies, software, consulting, robotics and consumer products companies.

Barry was the Secretary and General Counsel of Emerson Radio Corp., then a New York Stock Exchange listed company, and the Senior Vice President-Administration of its computer and technology subsidiaries where he was responsible for negotiating supply and manufacturing agreements, vendor agreements, leases and software licenses. He has served as an arbitrator and neutral, drawing on a transactional lawyer’s command of business, joint venture, partnership, manufacturing, distribution and licensing structures. He has completed extensive arbitrator training with the American Arbitration Association, FINRA Dispute Resolution (including chairperson training), the New York State Bar Association’s comprehensive commercial-arbitration program, and the Practising Law Institute’s securities and international-arbitration programs, and is a member of the NYSBA Dispute Resolution Section.

Barry is licensed to practice law in New York, New Jersey and Massachusetts. He is a frequent speaker on topics involving bank financings, mergers, acquisitions, joint ventures, Section 363 asset sales in bankruptcy, software licensing, legal opinions, attorney ethics and privacy/data protection issues. Barry is Co-Chair of the Corporate and Alternative Entities Affinity Group of the Working Group on Legal Opinions Foundation (the WGLO) and a bar association representative to the WGLO. He serves as a director and as chair of the third party legal opinions committee of the New Jersey State Bar Association’s Business Law Section and is a former chair of the Section.
