In his more than 20 years of experience as a lawyer and in-house lawyer, Dr Jens Kellerhoff combines significant law firm experience from market-leading law firms with broad in-house expertise in global corporations. He has held positions such as Head of Legal / General Counsel, Chief Compliance Officer, and Head of Supervisory Board Offices, as well as many years of experience as an interim legal manager.

Jens’ areas of specialisation are corporate, M&A, and compliance/corporate governance. In the area of M&A projects, he has advised and managed processes along the entire life cycle of transactions, from transaction planning and preliminary agreements, contract drafting to exits and add-on transactions. His broad and international transaction experience and strong knowledge of specialised transaction insurance (W&I) position him as a trusted advisor for transboundary transactions. He also advises on complex plant construction contracts in the commercial area.

As interim counsel, he has built up a broad range of industry expertise covering energy, telecommunications, software, industrial plant construction, professional services/consulting, agribusiness, sustainable construction, and others.

Jens is a certified data protection officer and compliance officer.

He began his legal career in the Frankfurt office of Clifford Chance, a leading global law firm.

  • Restructuring of the utilities division of a major infrastructure company in a German metropolis
  • Advising a foreign company on increasing its stake in a German DAX company with a complex, time-bound resale structure in the event of an IPO
  • Sale of several divisions of a German industrial group to a PE investor
  • Development of compliance management systems and risk early warning systems, incl. Risk analysis of the specific situation of the companies concerned and establishment of internal framework conditions and guidelines
