  • Support on a 26M asset purchase (Project Wren) including carrying out due diligence and reporting to the client
  • Support on a 5M Share sale including creation of the Data Room, dealing with due diligence replies and working with the client in this regard, preparation of the disclosure letter, drafting the ancillary documents for the client and progressing the matter through to completion
  • Drafted bespoke Articles of Association to incorporate new shares that were being granted by the members with bespoke rights being given, making the necessary filings at Companies House and also drafting the ancillary documents (Board Meeting Minutes, Written Resolutions and new Share Certificates), as well as the formation of the New Companies at Companies House
  • Supported a Partner in a Share Purchase including, the preparation of the initial agreement and subsequent amendment, dealing with the preparation of the ancillary documents, progressing the matter through to completion and dealing with completion and ensuring that all documents are correctly submitted to Companies House and dealing with HMRC re: Stamp Taxes
  • Acted for clients in the purchase of a restaurant business including the incorporation at companies house of the client company, preparing and negotiating the asset purchase agreement, reporting to the client on its purchase and progressing the matter through to completion
  • Worked with a Partner on a high-profile share purchase which included cross-border negotiations with an American Company and its lawyers, as well as making the necessary filings at HMRC post completion
  • Worked with a Partner in respect of an Asset Purchase as well as Share Transfer within the EMI rules dealing with the due diligence of the target, reporting to the client, attendance on regular calls with the client and its accountants and progressing the matter through to completion
