gunnercooke has advised Surinder Padda and Stuart Bloxham, co-founders of Solihull-based managed service provider Infrasys Limited, on the successful sale of the company to a private equity-backed IT group. Led by Corporate Partner Jahid Ali, and his team Hasin Ali, and Riann Khan, gunnercooke provided end-to-end legal support on the disposal of the entire issued share capital of Infrasys.

The deal marks a major milestone for Infrasys and forms part of a wider buy-and-build strategy led by entrepreneurs Alex Heslip and Chris Earle, under the working title ‘Project Edge’.

Founded in 2001, Infrasys is a key IT partner to the UK’s most prominent engineering, financial, and technology businesses, as well as major commercial vehicle dealerships and public sector organisations across Britain and Ireland.

gunnercooke began advising the founders in June 2024 and supported them through to successful completion of the deal in April 2025. The team have now advised on 5 transactions over the course of the last few months, including the sale of Video Game Insights Ltd, the sale of a manufacturing group and the acquisition of an accountancy practice.

Client Stuart Bloxham commented: “This partnership marks an exciting time for both our employees and our customers. By working within a larger, more diverse team, we are enhancing our ability to deliver top-tier IT services and support. Our customers will benefit greatly from the expanded expertise and resources, allowing us to better meet their needs and drive their success.”

Stuart continued: “Navigating the sale of our IT services business was one of the most significant steps we’ve taken and having Jahid and his team by our side made all the difference. Their grasp of the legal and commercial nuances of the transaction was clear from day one. They didn’t just advise us; they anticipated challenges, handled pressure calmly, and helped us close the transaction smoothly with a private equity-backed buyer.”

Jahid Ali, Corporate Partner, added “It was a pleasure to work with Surinder and Stuart on such a strategically important deal. This transaction not only reflects the strength of Infrasys as a business, but also the growing appetite among private equity-backed groups to invest in regional tech and IT infrastructure. We’re proud to have supported our clients through every step of the process.”
