  • Supported on the purchase of a multi-million-pound London property by a Premier League footballer
  • Assisted on a £26m asset purchase, Project Wren, including carrying out due diligence and reporting to the client
  • Supported on a £5m share sale, including creation of the Data Room, dealing with due diligence replies and working with the client to prepare disclosure letter, draft ancillary documents and progress the matter through to completion
  • Supported on the sale of multiple £1M plot sale property at the Fallsbrook Road, Streatham Site
  • Experience in attending to and dealing with unregistered land alongside refinance workings
  • Experienced with drafting bespoke Articles of Association to incorporate new shares granted by members, with niche rights being granted, making the necessary filings at Companies House and also drafting ancillary documents (Board Meeting Minutes, Written Resolutions and new Share Certificates and the formation of new companies at Companies House
  • Experienced in supporting on Share Purchase deals, including the preparation of drafting agreements and subsequent amendments, dealing with the preparation of ancillary documents, progressing matters through to completion, dealing with completion, and ensuring that all documents are correctly submitted to Companies House and HMRC regarding Stamp Taxes
  • Acted for clients in the purchase of a restaurant business including the incorporation at Companies House of the client company, preparing and negotiating the asset purchase agreement, reporting to the client on its purchase and progressing the matter through to completion
  • Worked with a Partner on a high-profile share purchase which included cross-border negotiations with an American Company and its lawyers, as well as making the necessary filings at HMRC post completion
  • Experience of working on Asset Purchase Transactions as well as Share Transfer deals within the EMI rules, including due diligence of the target, reporting to the client, attendance on regular calls with the client and its accountants, and progressing matters through to completion
  • Experience of working with property developers on the acquisition of the site and multiple plot sales, corporate real estate purchases and sales, and the sale of estate agents
